Overview

Welcome to the Terms and Conditions of Use and Service of The Alvan Ikoku Philanthropies, a division of The Alvan Ikoku Group LLC (the “Terms”), which govern and inform your activity, communication, visit and use pertaining to the Products and Services of The Ikoku Philanthropies. Please take the time to read the Terms below carefully.

Your Agreement

— With respect to the Agreement you enter into with The Ikoku Philanthropies via the Terms, you understand and adhere to the following:

Persons Adhering to Agreement
that the Terms are to be adhered to by a wide range of associated individuals and communities ― including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ― as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Ikoku Philanthropies.
Applicability and Governance of Agreement
that the Terms govern any and all of your access, actions, activity, communication, operation, participation, visit and other use, in any way, of, in, within, with, for, on behalf of, in reference to or otherwise pertaining to the Products and Services of The Ikoku Philanthropies and the Products and Services of its series, subsidiaries and affiliates — unless a different Terms are provided on a particular Product, Service or Site, in which case such different Terms shall apply, govern and control.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation, visit or other use, in any way, of, in, within, for, on behalf of, in reference to or otherwise pertaining to any part or section of the Products and Services, including the Sites; and especially when you provide to the Products and Services, including its Sites, any content, data and information or feedback — directly or indirectly as further described below — you are agreeing to the Terms as well as the associated Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described actions, activities, communications, operations, participations, visits or other uses directly or indirectly — whether engaged in or provided to or through the Products and Services, including the Sites, or persons and entities working with the Products and Services, including the Sites, or through content, information, media, materials or otherwise — you are also agreeing to the Terms as well as the associated Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Terms and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Terms and Codes and Policies and agree to be legally bound by them (your “Agreement”).
Agreement On Behalf of Organization
that if you are engaging in any of the above described actions, activities, communications, operations, participations, visits or other uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described actions, activities, communications, operations, participations, visits or other uses if you do not agree to all of the Terms or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to the Terms

— With respect to your ability to agree and consent to the Terms, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Terms, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in access, actions, activities, communications, operations, participations, visits or other uses, in any way, of, in, within, with, for, on behalf of, in relation to and otherwise pertaining to the Products and Services, including the Sites, with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Terms.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Terms.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent, as delineated and described in a these Codes and Policies — for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by Terms and Policies

— You represent, warrant and covenant that, given the above attestation about your consent to the Terms, you have read, understood, consented to and agreed to be legally bound by and abide by the Terms and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Accordance with Ethics

— that The Ikoku Philanthropies ensure following the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.

Further Considerations

Your Knowledge and Acceptance

The Ikoku Philanthropies strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand and regularly visit this page and other communications regarding the Terms and Conditions, as well as the Codes and Policies. The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your knowledge, understanding, legally binding acceptance and agreement.

Your Duty to Company Integrity

To protect the company and organizational integrity of The Ikoku Philanthropies — as well as the properties, rights and protections of the company and its official persons — The Ikoku Philanthropies requires all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on Company and Division Integrity.

The Ikoku Philanthropies reminds you that the Policy on Company and Division Integrity forms part of The Ikoku Philanthropies User Agreement and Code of Conduct. Thus, The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.

The Terms and Conditions

Provision

Along with the above key principles, the Terms and Conditions require your adherence to correlative requirements delineated below.

Scope of Your Use

— With respect to the scope and general nature of the above described activity, communication and other use pertaining to the Products and Services, you agree to adhere to the following:

Solely for Your Own Non-Commercial Purposes
that such activity, communication and other use pertaining to the Products and Services shall be solely for your own noncommercial benefit, purposes and use, and not for the benefit of, use by or resale or other transfer or disposition to any other person or entity.
Wholly Consistent with Policy on Intellectual Property
that such activity, communication and other use pertaining to the Products and Services shall be wholly consistent with the Policy on Intellectual Property, including but not limited to your adherence to The Limited Permission temporarily granted to you by The Ikoku Group and The Ikoku Philanthropies — provided you comply with the Terms and all copyright, trademark and other proprietary notices are followed, observed and remain intact.
Not For a Purpose Deemed Illegal or Inconsistent with Policies
that your activity, communication and other use pertaining to the Sites, Products and Services shall not be for any illegal purpose, for the facilitation of the violation of any law or regulation, or in any manner inconsistent with the Terms, the Codes and Policies, the Founding Code of Ethics, and the cautions and prohibitions described in the Acceptable Use Policy.
Not In a Manner that Competes with Company or Founder
that such activity, communication and other use pertaining to the Products and Services shall not be for any purposes or in any manner that could compete with any of the activities, businesses and purposes of The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, or its Founder and Owner, Alvan Azinna Chibuzo Ikoku.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

Fees for Your Use

— The Ikoku Philanthropies reserves the right at any time to charge fees for access to parts or sections of the Products and Services or the Products and Services as a whole, and as such you agree to all of the following:

Right to Fees for Subscription Service
that the right to charge fees includes, but is not limited to, any current or future subscription service of The Ikoku Philanthropies.
Requirement of User Registration and Account
that, if at any time The Ikoku Philanthropies requires a fee for parts or sections of the Products and Services or the Products and Services as a whole, The Ikoku Philanthropies will require you to register as a user, and thus request that you do so and create an Account.
Voluntary Nature of Registration
that, where registration is thus requested, your decision to do so and to provide the personal information needed to create an Account shall be voluntary; however, if you decide not to provide such information, you understand and accept that you will not be able to access or participate in parts or sections of the Products and Services or the Products and Services as a whole.
Payment of Fees Through Account
that you shall pay all fees and charges incurred through your Account at the rates in effect for the billing period in which such fees and charges are incurred, including but not limited to charges for any goods, products, services or their equivalent offered for sale through the Products and Services by The Ikoku Philanthropies.
Sole Responsibility for Fees
that all fees and charges shall be billed to you, and you shall be solely responsible for their payment.
Payment of Applicable Taxes
that you shall pay all applicable taxes relating to the use of the Products and Services through your Account, and the purchase of any other goods, products, services or their equivalent.
As Determined and Authorized by the Founder
that the above conditions furthermore entail acceptance by you of the sole authority of the Founder and Owner, Alvan Azinna Chibuzo Ikoku, to determine, approve and authorize such fees, charges and applicable taxes for access to portions of the Products and Services or the Products and Services as a whole.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

Your Registration and Account Creation

— Where your registration as a user and creation of an account or profile is needed, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in user registration and Account and Profile creation, including, if you are engaged in activity, visit or other use for or on behalf of an organization, the power and authority to enter into such agreement, register as user and create an Account and Profile on behalf of that organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and are registering, creating an account or profile and using the Products and Services with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood all Codes and Policies, and especially the Policy on Data and Information, as they pertain to your creation and use of your account and profile and now personal and personalized user activity.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by all Codes and Policies, and especially the Policy on Data and Information, as they pertain to your creation and use of your account and profile and now personal and personalized user activity.

— When you complete the user registration process, you will likely have created an account with a username and password or other identifier, and so agree to all of the following:

Account Security as Confidential Information
that you agree to guard your username, password and other identifiers as confidential information.
Provide and Maintain Accurate Information
that you also agree to provide accurate, current, complete and truthful information at all times, and to that effect agree that you will review, maintain, correct and update such information in a timely manner to maintain its accuracy and completeness by using the means allowed for the relevant information or, when appropriate, by contacting The Ikoku Philanthropies.
Agree to Termination Upon Inaccurate Information
that if you provide (or we have reasonable grounds to believe that you provided) any information that is false, inaccurate, not current or incomplete, The Ikoku Philanthropies reserves the right to suspend or terminate your access, application or participation in any part or section of the Products and Services, or the Products and Services as a whole, including in any activity, community, feed, group, program or equivalent action or space, in addition to exercising all rights and remedies allowed by law.
Responsibility for Use of Account Information
that you agree that all uses of the username, password and other identifiers established for you during a registration or similar process will be attributed to and legally bind you and may be relied upon by The Ikoku Philanthropies in order to provide its Products and Services and pursue its mission and purposes — and such uses of the established username, password and other identifiers will be relied upon as being a use made by you, even if someone else used your username and password or other identifier.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

Communications to You

— After your registration on or with the Products or Services, you may be provided with electronic communications that the Products or Services will publish from time to time. These communications describe the work of The Ikoku Philanthropies. Where applicable, they also provide users the opportunity to opt out of receiving future automated communications, and if you do wish to opt out, you will be able to easily do so by following instructions located in the communication you receive.

Your User Data and Information

— The Ikoku Philanthropies and The Ikoku Group are the sole owners of the User Data and Information collected via the Products and Services, including but not limited to data and information entered by you on the Products or Services. The Ikoku Philanthropies will not circulate, distribute, exchange, lease, rent, sell, share or otherwise disclose the User Data and Information to others outside of The Ikoku Philanthropies and The Ikoku Group, except as described in the Terms and in the Codes and Polices. The Ikoku Philanthropies will attempt to collect and store the User Data and Information in a manner to protect their confidentiality, privacy and security, recognizing that no transmission of data or information is entirely secure. Please see, among several pertinent Codes and Policies, the Policy on Data and Information for more on such rights and responsibilities.

— The Ikoku Philanthropies, its offices and its Products and Services are headquartered and primarily operated in the United States. If you are located outside the US, please be aware that any User Data and Information you provide to us may be transferred to the United States, which may not provide the same level of protections as those in your own country — though The Ikoku Philanthropies does guarantee compliance with specific international data-handling policies (such as the European Union’s GDPR). By using the Products and Services, you consent to this transfer, retention and processing of your information in the United States.

Your User Content and Feedback

— The Ikoku Philanthropies welcomes your User Content and Feedback (as defined in the Policy on Intellectual Property and these Codes and Policies) and hopes to use them to support, improve and pursue its mission, purposes and work. You agree, therefore, that you will not supply User Content or Feedback that infringes or violates the rights of others, and you hereby grant a License to The Ikoku Philanthropies (as also defined in the Policy on Intellectual Property) in your User Content and Feedback.

— You agree that The Ikoku Philanthropies and its Founder and Owner, Alvan Azinna Chibuzo Ikoku, have no obligation to pay you or anyone else for your User Content or Feedback or for this License to The Ikoku Philanthropies. And the License to The Ikoku Philanthropies is in addition to any (if any) that you may be required to provide under any separate written agreement between The Ikoku Philanthropies and you (including contributor or volunteer arrangements or other agreements).

Philanthropic Arrangements

— Notwithstanding any provisions of this Policy, other Codes and Policies, or any other official or governance documents of The Ikoku Philanthropies, or applicable state, federal or international law or agreement, only the Founder, Alvan Azinna Chibuzo Ikoku shall approve and authorize, in rare instances and by express and written instrument signed and sealed, the engagement of any offices, official persons, areas, parts or sections of The Ikoku Philanthropies, including its series, subsidiaries and affiliates, its Products and Services, and the Sites, in any charitable or other philanthropic arrangement. Where such approval, review and authorization is granted, all of the following shall apply:

Contribution in Services
the contribution shall only be in the form of services rendered by The Ikoku Philanthropies, and not monetary income or real or intellectual property.
Authorization with Each Service
each and any contribution by The Ikoku Philanthropies toward the arrangement and each and any disbursement or operation of said contribution thereafter shall also, in each instance, require express and written instrument signed and sealed of the Founder, President and Chair, Alvan Azinna Chibuzo Ikoku, as well as a resolution of any relevant Board.
Fundraiser on Record
where The Ikoku Philanthropies establishes or provides fundraising benefit to charitable or nonprofit entities through its Services, the Founder, Alvan Azinna Chibuzo Ikoku, and The Ikoku Philanthropies and any relevant subsidiary or affiliate shall be the primary fundraiser on record and compensation for such fundraising services (at a standard or negotiated percentage rate of gross funds and assets raised) shall be provided to the Founder and The Ikoku Philanthropies.
No Other Indication of Philanthropy
other than the specified, express and written instruments signed and sealed as described above, no other activity, endeavor, speech, or writing made as part of The Ikoku Philanthropies’s Products and Services, or administration, management and operations, or made on the part of The Ikoku Philanthropies or on the part of Alvan Azinna Chibuzo Ikoku may be taken as an indication of intent for any funds, income, assets, or any arrangements, contributions or distributions. Any such interpretation shall be contrary to the intent of the Founder, Alvan Azinna Chibuzo Ikoku, of any properly authorized charitable and philanthropic arrangements, contributions or distributions as described above, of the originating mission and purposes of The Ikoku Philanthropies, its Founding and Governing Code of Ethics, and these Terms.
Special Note on Ikoku Trusts and Foundations
it must be noted that any such charitable or philanthropic arrangements, contributions, or distributions will likely accrue additional fiduciary duties and standards of care and conduct. Specifically, in the case of any arrangement the Founder may properly authorize (as described above) with The Chinyere and Chinelo Ikoku Charitable Trusts, with The Chinyere and Chinelo Ikoku Foundation, or with The Alvan Azinna Chibuzo Ikoku Foundation, such additional fiduciary duties and standards of care and conduct shall be as they have been delineated by the Founder in pertinent founding and governing documents, and it shall become the additional responsibility of the Founder, President and each Trustee, Director, Officer, and agent involved in such arrangements, contributions, or distributions to abide by such fiduciary duties and standards of care and conduct.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

— The Ikoku Philanthropies and its Products and Services contain links to other sites. Such links are provided to help users and visitors explore the wide range of information available on topics of interest. By providing a link, The Ikoku Philanthropies is not endorsing the content of the linked site or the entity that maintains it. Nor is The Ikoku Philanthropies responsible for the confidentiality, privacy and security practices or the content of websites to which it provides links.

— The Ikoku Philanthropies thus encourages visitors and users to be aware when they leave the Products and Services, and to read the confidentiality, privacy, security and other data-related policies and statements of each and every website that go to and especially those that collects personally identifiable information. These Terms — as well as the Codes and Policies  — apply solely to activity, data, information, operations, visits and other uses of the Products and Services.

Disclaimers and Limitation of Liability

— With respect to the limitation of liability of The Ikoku Philanthropies, of its Founder and Owner, Alvan Azinna Chibuzo Ikoku, and of its persons listed below, you accept and agree to the following:

As-Is and As-Available Products, Services and Sites
that the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, are provided “as is” and “as available” to you, and that any use or reliance on the aforementioned is solely at your own risk.
No Guarantee of Error-Free Products, Services and Sites
that The Ikoku Philanthropies makes no represent or warrant that the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, are complete, current or error-free, or that any deficiencies, errors, incompleteness or their equivalent will be remedied.
No Guarantee of Malware-Free Products, Services and Sites
that The Ikoku Philanthropies makes no represent or warrant that the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, are free from contaminating, destructive or harmful components, features and materials — such as malware, spyware, “trojan horses,” viruses, worms and their equivalent — and that any activity, communication, downloading or other use is conducted solely at your own risk.
No Responsibility for Third-Party Products, Services and Sites
that The Ikoku Philanthropies shall not, in any way, be responsible for third-party goods, products, services and websites even if they are accessed through the Products and Services, and the Sites; that The Ikoku Philanthropies shall disclaim warranties for any information received through any links provided by the Products and Services, and the Sites; and that you shall review the terms of use, privacy policies and equivalent agreements that apply to such third-party goods, products, services and websites.
No Guarantee of Applicability or Compatibility of Products, Services and Sites
that The Ikoku Philanthropies makes no represent or warrant that the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, are applicable to your situation or compatible with any of your devices, equipment, systems or equivalent technologies, or that any deficiencies or incompatibilities will be remedied.
No Warranty of Products, Services and Sites
that The Ikoku Philanthropies shall make no warranty of any kind, express or implied, as to the Products and Services, and the Sites, or as to anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, including but not limited to accuracy, availability, compatibility, merchantability, non-infringement, reliability, title or fitness for a particular purpose or use or those arising by statute or otherwise in law from a course of dealing or usage of trade.
No Liability from Use or Inability to Use
that The Ikoku Philanthropies shall assume no liability or responsibility for any claim, damages, harm, injury, loss or equivalent arising from your use of, or inability to use, the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites; and that in such as case, you shall assume the entire cost of all necessary recovery, repair, servicing and equivalent remedies.
No Liability for Computer Systems and Data Loss
that The Ikoku Philanthropies shall assume no liability or responsibility for any claim, damages, harm, injury, loss or equivalent to computer systems, data and information, devices and technologies or their equivalent arising from your use of, or inability to use, the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites; and that in such as case, you shall assume the entire cost of all necessary recovery, repair, servicing and equivalent remedies.
No Liability from Errors, Omissions, Interruptions
that The Ikoku Philanthropies shall assume no liability or responsibility for any claim, damages, harm, injury, loss or equivalent based on errors, inaccuracies, interruptions, omissions or other inadequacies in any of the Products and Services, and the Sites, or in anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites; and that in such as case, you shall assume the entire cost of all necessary recovery, repair, servicing and equivalent remedies.
Agreement to Not Hold Liable from Products and Services
that you therefore also agree that under no circumstances, including but not limited to negligence, shall The Ikoku Philanthropies, its series, subsidiaries and affiliates, as well as its directors, managers, officers, employees, representatives, contractors, licensors, volunteers, partners, third parties, agents, successors, and assigns be liable to you or any third person for damages of any kind, whether based in tort, contract, strict liability or otherwise, including, without limitation, any direct, indirect, incidental, consequential, special, punitive, or exemplary damages even if The Ikoku Philanthropies has been advised specifically of the possibility of such damages, arising in any way from or in connection with the Products and Services, and the Sites, including but not limited to as described in the aforementioned disclaimers and scenarios.
Agreement to Not Hold Liable from Terms
that you also agree that under no circumstances, including but not limited to negligence, shall The Ikoku Philanthropies and the aforementioned persons be liable to you or any third person for damages of any kind, arising in any way from or in connection with any provision of the Terms, such as, but not limited to, loss of revenue or anticipated profits or lost business.
Limit to Not Exceed Your Payments
that you also agree that under no circumstances or event shall The Ikoku Philanthropies’s and the aforementioned persons’ total liability to you for all damages, losses and causes of action (whether in contract or tort, including but not limited to, negligence) exceed the amount paid by you, if any, for access, activity, communication, visiting and other use pertaining to the Products and Services, and the Sites.

— And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you understand, accept and agree that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such waiver, you acknowledge that you have read and understand, and hereby expressly waive, the benefits of Section 1542 of the Civil Code of California, and any similar law of any state or territory, which provides as follows:

Section 1542 of the Civil Code of California
“A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”

— You hereby waive any and all rights you have or may have under California Civil Code Section 1542, and/or any similar provision of law or successor statute to it, with respect to any claims you may have in connection with the Products and Services, and the Sites, or the Terms and the Codes and Policies. In connection with this waiver and release, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true. Nevertheless, you intend by these Terms to release fully, finally and forever all such matters under these Terms. In furtherance of such intention, the releases set forth in these Terms shall be and shall remain in effect as full and complete releases notwithstanding the discovery or existence of any such additional or different claims or facts relevant hereto.

Indemnification

— With respect to indemnification, you agree, at your own expense, to indemnify, defend, and hold harmless The Ikoku Philanthropies, its Founder and Owner, Alvan Azinna Chibuzo Ikoku, its directors, managers, officers, employees, representatives, contractors, volunteers, partners, third parties, agents, successors, and assigns from and against any and all damages, liability, losses and costs of every nature incurred by any of them in connection with any claims, damages, harms, injuries, losses or equivalent related to or arising out of your activity, communication or other use pertaining to the Products and Services, including but not limited to the following: 

Use or Inability to Use
from any of your use of, or inability to use, the Products and Services, and the Sites, and anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites.
Limited Liability Disclaimers and Scenarios
from any of the disclaimers and scenarios delineated in this Policy under limited liability pertaining to your activity, communication or other use pertaining to the Products and Services, and the Sites, and to anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites.
Assistance and Services
from any assistance, help, support or services provided by The Ikoku Philanthropies, its Founder or any of its managers, officers, employees, third parties, agents and other persons listed above.
Unauthorized Use
from any alleged unauthorized activity, communication or other use pertaining to the Products and Services, and the Sites, and to anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, such as additions, alterations, bugging, contaminations, deletions, insertions, interferences, manipulations, mirroring, spying and their equivalent.
Infringement of Rights and Protections
from any claim that your activity, communication or other use pertaining to the Products and Services, and the Sites, and to anything contained within, downloadable from or otherwise associated with the Products and Services, and the Sites, infringes any rights or protections of The Ikoku Philanthropies, its Founder and Owner or any third party concerning intellectual property, confidentiality, privacy or publicity; or that your activity, communication or other use is libelous or defamatory, or otherwise results in injury or damage to The Ikoku Philanthropies, its Founder and Owner or any third party.
Breach of Terms and Policies
from any breach or alleged breach by you of the Terms or of the Codes and Policies.
Violation of Law
from any violation or alleged violation by you of any applicable local, state, national and international law, guideline or treaty.
Aforementioned By Person Using Your Account or Devices
from any of the aforementioned conducted by someone using your account, username, password and other identifiers, or using your computers, devices or equivalent technologies.
Misrepresentation or Breach of Warranty
from any misrepresentation or breach of representation or warranty made by you contained herein.
Breach of Agreement or Covenant
from any breach of any agreement, covenant or promise to be performed by you hereunder.

Your Full Cooperation in Any Defense
that you agree to cooperate fully in the defense of any of the foregoing, and with The Ikoku Philanthropies in asserting any available defense.
The Reserved Right of The Ikoku Philanthropies
that The Ikoku Philanthropies reserves the right, at its own expense, to control exclusively the defense of any matter otherwise subject to indemnification by you.
No Settlement Without Consent of The Ikoku Philanthropies
that, in the case of the foregoing, you shall not settle any matter without the consent and agreement of The Ikoku Philanthropies and this Founder and Owner, Alvan Azinna Chibuzo Ikoku, via written instrument signed and sealed.
Agreement for Costs and Expenses
that you agree to pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys’ fees and costs awarded against or otherwise incurred by or in connection with or arising from any such action, claim, suit or proceeding attributable to any such claim, and with any and all lawsuits brought against you by The Ikoku Philanthropies under the Terms and any other terms and conditions of service on the Products and Services, and the Sites, including without limitation, lawsuits arising from your failure to indemnify The Ikoku Philanthropies pursuant to the Terms.
Cases of Limited Indemnification
that your obligation to indemnify, defend, and hold harmless may be limited to the extent that you are afforded sovereign immunity under applicable federal, state or local laws; and that in such cases where your obligation to indemnify may be limited due to the requirements of federal, state or local laws, you shall be responsible for the ordinary negligent acts and omissions of your agents and employees causing harm to persons not a party to this agreement.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

Nature of Relationship

— With respect to the nature of your relationship with The Ikoku Philanthropies, with its Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as with its aforementioned official persons, you accept and agree to the following:

No Other Relationship with The Ikoku Philanthropies
that no joint venture, partnership, employment, agency, volunteership or other equivalent relationship shall exist between you and The Ikoku Philanthropies, or with its Founder and Owner, Alvan Azinna Chibuzo Ikoku, or with its aforementioned official persons, as a result of the Terms, the User Agreement or Code of Conduct, the Codes and Policies, or your visit or use of its Products and Services, including the Sites, or any areas, parts, sections or properties of The Ikoku Philanthropies, or any divisions, series, subsidiaries or affiliates of The Ikoku Philanthropies.
No Relationship with Other Ikoku or Publiks Entities
that — as a result of the Terms, the User Agreement or Code of Conduct, the Codes and Policies, or your visit or use of the Products and Services, including the Sites, or any areas, parts, sections or properties of The Ikoku Philanthropies, or any divisions, series, subsidiaries or affiliates of The Ikoku Philanthropies — no relationship shall exist between you and any divisions, series, subsidiaries or affiliates, any Products, Services or Sites, any assets or properties, or any areas, parts or sections of other Ikoku or Publiks entities, including those that have Alvan Azinna Chibuzo Ikoku as Founder, President or Chair, such as The Chinyere and Chinelo Ikoku Charitable Trusts, The Chinyere and Chinelo Ikoku Foundation, The Alvan Azinna Chibuzo Ikoku Foundation, The Alvan Ikoku Group LLC (except The Ikoku Philanthropies division) and Publiks Inc.
Your Attestation to Understanding
that you hereby agree that these Terms, this User Agreement and Code of Conduct, as well as these Codes and Policies, contain the full and complete understanding between The Ikoku Philanthropies, this Founder and Owner, any other Ikoku or Publiks entity and you.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of their divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

Termination

— With respect to termination or your activity, communication and other use pertaining to the Products and Services, and the Sites, as well as the governing Terms, you accept and agree to the following: 

When You May Terminate
that you may terminate the Terms, with or without cause and at any time, by discontinuing your activity, communication and other use pertaining to the Products and Services, and the Sites, and destroying all materials obtained from the Products and Services, and the Sites.
When The Ikoku Philanthropies May Terminate
that, without notice, The Ikoku Philanthropies may terminate the Terms, or suspend your access, activity, communication or other use pertaining to the Products and Services, and the Sites, with or without cause at any time and effective immediately.
Termination on Non-Compliance
that the Terms — as well as your access, activity, communication or other use pertaining to the Products and Services, and the Sites — will terminate immediately without notice from The Ikoku Group if you, in The Ikoku Philanthropies’s sole discretion, fail to comply with any provision of the Terms.
No Liability For Termination
that The Ikoku Philanthropies shall not be liable to you or any third party for the termination or suspension of the Products and Services, and the Sites — as well as your access, activity, communication or other use pertaining to the Products and Services, and the Sites — or any claims related to the termination or suspension of the Products and Services, and the Sites.
Discontinuation of Use On Termination
that upon termination of the Terms by you or The Ikoku Philanthropies, you must discontinue your use of the Products and Services, and the Sites, and destroy promptly all materials obtained from the Products and Services, and the Sites and any copies thereof.
Discretion of The Ikoku Philanthropies and Founder to Determine Compliance
that The Ikoku Philanthropies and its Founder and Owner, Alvan Azinna Chibuzo Ikoku, shall determine your compliance with the Terms in their sole discretion and their decision shall be final and binding and not subject to challenge or appeal.
Restrictions on Violation of Terms
that any violation of the Terms may result in restrictions on your access, activity, communication or other use pertaining to all or part of the Products and Services, and of the Sites, and may be referred to law enforcement authorities.
Changes and Waiver Requiring Founder
that no changes to or waiver of any part of the Terms shall be of any force or effect unless formally posted or made in writing and signed by the Founder and Owner of The Ikoku Philanthropies, Alvan Azinna Chibuzo Ikoku.
Required Destruction Upon Termination
that upon termination of your access, activity, communication or other use pertaining to the Products and Services, and the Sites, or upon demand by The Ikoku Philanthropies, you must destroy all materials obtained from the Products and Services, and the Sites and all related documentation and all copies and installations thereof.
Advisement of Rights Enforcement
that you are advised that The Ikoku Philanthropies will aggressively enforce its rights to the fullest extent of the law.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent as delineated and described in these Codes and Policies.

No Waiver of Right

— Any failure on the part of The Ikoku Philanthropies or The Ikoku Group to enforce or insist on strict performance of any of the provisions of the Terms, the User Agreement and Code of Conduct, or the Codes and Policies will not constitute or operate as a waiver of any default or failure of performance or right of The Ikoku Philanthropies or The Ikoku Group.

Severability

— If any provision of the Terms, the User Agreement and Code of Conduct, or the Codes and Policies is held unenforceable by a court or tribunal of competent jurisdiction, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of the Terms, the User Agreement and Code of Conduct, and the Codes and Policies shall continue in full force and effect.

Governing Law /Jurisdiction

— The laws of the United States, and in particular, the State of Delaware shall govern with respect to all issues arising out of the Products and Services, the Terms and the Codes and Policies.

— By visiting or using the Products and Services, you agree to the exclusive jurisdiction of State and Federal courts in the United States and in Delaware, in all matters arising out of or relating to these Terms, the Codes and Policies, and the visit or use of the Products and Services.

— If accessing the Products or Services from another jurisdiction other than the US, you agree to comply with all applicable US laws.

Updates and Keeping Informed

— By continuing to engage in activity with, within, for, on behalf of, in reference to and otherwise pertaining to The Ikoku Philanthropies, and by continuing to visit and use its Products and Services, including the Sites, you indicate that you understand that The Ikoku Philanthropies reserves the right to update these Terms and any of our other Codes and Policies from time to time, and at any time, and that The Ikoku Philanthropies encourages you to check back periodically to review the most current, updated version of the Terms and Codes and Policies. As a person or entity engaging in any activity with, within, for, on behalf of, in reference to and otherwise pertaining to The Ikoku Philanthropies, or a visitor or user of its Products or Services, including the Sites, it remains your responsibility to keep informed about such posted changes.
