Private Nature and Public Good
Overview
Certain operations and programs at The Ikoku Philanthropies have as part of their purposes the aim to enhance public benefit in communities and societies. So it is important to make clear the relationship between the private nature of The Ikoku Philanthropies and any commitment the division and its Founder may make toward the public good.
Therefore, persons engaged in activity within, for, on behalf of, in reference to and otherwise pertaining to The Ikoku Philanthropies are expected to uphold the following:
Private and Single-Interestholder Nature
— that The Ikoku Group and The Ikoku Philanthropies be private in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management and operation as well as interests, share and stock distribution.
— that The Ikoku Group and The Ikoku Philanthropies be single-member in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management and operation as well as interests, share and stock distribution.
— that The Ikoku Group and The Ikoku Philanthropies be single-interest-, share- and stockholder in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management and operation as well as interests, share and stock distribution.
— that the sole interest-, share- and stockholder and member of The Ikoku Group and The Ikoku Philanthropies be Alvan Azinna Chibuzo Ikoku, its Founder and Owner.
General Public Benefit
— that The Ikoku Group have and maintain a commitment to enhance general public benefit, and foster that commitment primarily through The Ikoku Philanthropies division.
Specific Public Benefit
— that The Ikoku Group have the right to limit and specify its commitment to specific public benefit purposes.
— that the sole person and entity with powers to amend, limit, specify and select the above public benefit purposes be Alvan Azinna Chibuzo Ikoku, its Founder and Owner, by expressly written instrument signed and sealed.
Review and Reporting
— that The Ikoku Group ensure accurate and periodic review of public benefit impact via appropriate methods.
—that The Ikoku Group obtain, keep current and comply with required public benefit accreditation or certification and reporting requirements of applicable law and regulation.
Sole Approval, Authorization and Right of Action
— that The Ikoku Group ensure that all decisions regarding public benefit, including its purposes, operations, review and reporting require authorization and final approval by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner.
— that The Ikoku Group ensure that the sole person or entity with right of action pertaining to any of the aforementioned is Alvan Azinna Chibuzo Ikoku, its Founder and Owner.
Accordance with Ethics
— that The Ikoku Philanthropies ensure following the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.
