Overview

Welcome to the Policy on Intellectual Property of The Alvan Ikoku Philanthropies, a division of The Alvan Ikoku Group LLC, where polices below are provided to inform you about protections for creativity, design, ideas and innovations at The Ikoku Philanthropies, and to also guide your adherence to usage standards and requirements. The mission of The Ikoku Philanthropies, as well as the ability to do the work that fulfills such mission, is crucially dependent on intellectual property, including but not limited to copyrights, logos, names, patents, service- and trademarks.

Therefore, persons engaged in activity within, for, on behalf of, in reference to and otherwise pertaining to The Ikoku Philanthropies are expected to uphold the following:

Your Agreement

— With respect to the Agreement you enter into with The Ikoku Philanthropies via the Policy on Intellectual Property, you understand and adhere to the following:

Persons Adhering to Agreement
that the Policy on Intellectual Property is to be adhered to by a wide range of associated individuals and communities ― including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ― as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Ikoku Philanthropies.
Applicability and Governance of Agreement
that the Policy on Intellectual Property governs any and all of your access, actions, activity, communication, operations, participation or other use in, with, for, on behalf of, in reference to or otherwise pertaining to The Ikoku Philanthropies, its series, subsidiaries and affiliates, and the Products and Services, including the Sites, and that you agree to abide by, assist, fully cooperate with and not interfere with The Ikoku Philanthropies and its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku in ensuring the compliance with and fulfillment of any and all terms, conditions, duties, principles, protections, rights and other requirements of the Policy on Intellectual Property.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation or other use in, with, for, on behalf of, in reference to or otherwise pertaining to The Ikoku Philanthropies and its divisions, series, subsidiaries or affiliates — directly or indirectly as further described below — you are agreeing to the Policy on Intellectual Property as well as the Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described activities directly or indirectly — whether engaged in through The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, and the Products and Services, including the Sites; or through persons and entities working with The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, and the Products and Services, including the Sites; or working with such engaged activities and resulting media, materials or otherwise — you are also agreeing to the Policy on Intellectual Property as well as the Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Policy on Intellectual Property and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Policy on Intellectual Property and Codes and Policies and agree to be legally bound by them (your “Agreement”).
Agreement On Behalf of Organization
that if you are engaging in any of the above described activities, communication or uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described activities, communication or uses if you do not agree to all of the Policy on Intellectual Property or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to The Policy

— With respect to your ability to agree and consent to the Policy on Intellectual Property, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Policy on Intellectual Property, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in activity, communication, operation, participation, visit or other use in relation to The Ikoku Philanthropies, its series, subsidiaries and affiliates, and the Products and Services, including the Sites with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Policy on Intellectual Property.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Policy on Intellectual Property.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent, as delineated and described in a these Codes and Policies — for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by The Policies

— You represent, warrant and covenant that, given the above attestation about your consent to the Policy on Intellectual Property, you have read, understood, consented to and agreed to be legally bound by and abide by the Policy on Intellectual Property and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Your Understanding of Intellectual Property

— You represent, warrant and covenant that, given the above attestation about your consent and adherence to the Policy on Intellectual Property, you have also read, understood, consented to and agreed to be legally bound by and abide by understandings of real and intellectual property as defined in all applicable law and regulation, by The Ikoku Philanthropies in the Codes and Polices, and as further delineated below, to be respected and not harmed or misused, in any way, by you.

Your Understanding of Property Rights

— You represent, warrant and covenant that, given the above attestation about your consent and adherence to the Policy on Intellectual Property, you have also read, understood, consented to and agreed to be legally bound by and abide by understandings of real and intellectual property rights and proprietary rights as defined in all applicable law and regulation, by The Ikoku Philanthropies in the Codes and Polices, and as further delineated below, to be respected and not infringed or violated, in any way, by you.

Your Understanding of Property Protections

— You represent, warrant and covenant that, given the above attestation about your consent and adherence to the Policy on Intellectual Property, you have also read, understood, consented to and agreed to be legally bound by and abide by protections for real and intellectual property, and for proprietary rights and licenses in real and intellectual property, as they are provided for and defined in all applicable law and regulation, by The Ikoku Philanthropies in the Codes and Polices, and as further delineated below, to be respected and not breached or violated, in any way, by you.

Your Commitment to The Understandings

— You also represent, warrant and covenant that, given the aforementioned attestation, your commitment to this understanding of intellectual property, of real and intellectual property and proprietary rights, and of their protections shall entail the following:

Basis for Your Actions, Activity and Decisions
its basis for any activity you engage in with respect to The Ikoku Philanthropies — including its series, subsidiaries and affiliates, as well as its Products and Services — and that any such actions and decisions you engage in shall be free of any incompatibility with, inconsistency with or violation of this Policy on Intellectual Policy and all applicable laws, protections and regulations.
Commitment to Property Rights
that this commitment include but not be limited to upholding everywhere, for every person and for all real and intellectual property at The Ikoku Philanthropies the most respectful interpretations of real and intellectual property and proprietary rights.
Commitment to Property Protections
that this commitment include but not be limited to upholding everywhere, for every person, and for all real and intellectual property at The Ikoku Philanthropies the most respectful interpretations of protections for real and intellectual property and for proprietary rights and licenses in real and intellectual property.
Commitment to Respectful and Protective Practices
that you respectfully assist and in no way interfere with or impede the reasonable efforts taken by The Ikoku Philanthropies to translate the above commitments into practices for developing and maintaining real and intellectual property, associated rights and their protections.
Commitment to Protections Following From and Ahead of the Law
that you also respectfully assist and in no way interfere with or impede the reasonable efforts taken by The Ikoku Philanthropies to adopt legal and substantive approach and measures for acquisition, recognition and protection of real and intellectual property and attendant rights and licenses as derived, in part, from advances in applicable law and regulation, but also often beyond what the law provides for and protects.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Accordance with Ethics

— that The Ikoku Philanthropies ensure following the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.

Your Knowledge and Agreement

The Ikoku Philanthropies strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand and regularly visit this page and other communications regarding the Policy on Intellectual Property, as well as the Codes and Policies. The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your knowledge, understanding, legally binding acceptance and agreement.

Your Duty to Company Integrity

To protect the company, division and organizational integrity of The Ikoku Group and The Ikoku Philanthropies — as well as the properties, rights and protections of the company, division and their official persons — The Ikoku Philanthropies requires all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on Company and Division Integrity.

The Ikoku Philanthropies reminds you that the Policy on Company and Division Integrity forms part of The Ikoku Philanthropies User Agreement and Code of Conduct. Provision

Along with the above key principles, the Policy on Intellectual Property requires your adherence to a number of requirements, as delineated below.

A — Standard and Global Protections

Scope of Protections

— With respect to the standard and global protections for real and intellectual property and associated proprietary rights at The Ikoku Philanthropies, you represent, warrant and covenant your adherence to the following:

Application, Ownership, Registration
that The Ikoku Philanthropies shall apply for, hold and use intellectual property including but not limited to copyrights, logos, names, patents, slogans, symbols, service- and trademarks — awarded fully and solely to Alvan Azinna Chibuzo Ikoku, its Founder and Owner — and such intellectual property and the above ownership shall be upheld and protected by company and division policy and by state, federal and international laws.
Under Copyright, Patent and Mark
that assets, content, data, information, media, material and other intellectual real and property associated with, contained within or owned by The Ikoku Philanthropies shall also be under copyright, patent, service- and trademark — fully and solely belonging to Alvan Azinna Chibuzo Ikoku, its Founder and Owner — and such intellectual property and the above ownership shall be upheld and protected by company policy and by state, federal and international laws.
Scope of Usage Protection
that the use of such assets, content, data, information, media, material and other real property, as well as copyrights, logos, names, patents, slogans, symbols, service- and trademarks and other intellectual property associated with, contained within or owned by The Ikoku Philanthropies shall also be protected by company and division policy and by state, federal and international laws.
Activities Under Usage Protection
that The Ikoku Philanthropies require and ensure such protected usage includes, but is not limited to, that occurring during administration, management, governance and operations; care, consulting, education, research, development, training, writing and other work activity; user activity, engagement, interaction, participation and visiting; affiliation, collaboration and partnership; as well as third-party and volunteer arrangements.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Sole Ownership And Authorization

— With respect to the standard and global protections for real and intellectual property and associated proprietary rights at The Ikoku Philanthropies, you represent, warrant and covenant your adherence to the following:

Sole Ownership by Sole Founder
that real and intellectual property and  associated applications, proprietary rights and licenses and other equivalent protections, permissions and usages associated with, contained within and owned by The Ikoku Philanthropies shall be solely ascribed to and owned by Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner.
Sole Authorization for Use by Founder
that any and all usage of real and intellectual property associated with, contained within and owned by The Ikoku Philanthropies shall be approved, reviewed and authorized solely by expressly written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner.
Adherence to Permission
that The Ikoku Philanthropies require and ensure any and all usage approved, reviewed and authorized as described above, and any person or party granted the above usage approval and authorization strictly adheres to the terms of the granted permission, those of this Policy and applicable laws and regulations.
No Rights Accrual
that The Ikoku Philanthropies require and ensure any and all usage approved, reviewed and authorized as described above, and any person or party granted the above usage authorization and approval help The Ikoku Philanthropies in protecting its valuable intellectual property assets and rights, and furthermore understands and accepts that, except for the specifically limited right to use as expressly permitted by the received written authorization and by this Policy, no other rights of any kind are granted hereunder, by implication or otherwise.
Sole Inurement to the Founder
that the property and goodwill derived from using any part of copyright, logo, name, patent, slogan, symbol, service- or trademark or any other intellectual property associated with, contained within or owned by The Ikoku Philanthropies exclusively inures to the benefit of and belongs to Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification — and you thus also accept and agree that neither you nor any other person or entity shall acquire any right, title or interest in any of the aforementioned or The Ikoku Philanthropies-associated, -developed or -owned real and intellectual property, including by nature of permitted usage of said real and intellectual property, or by using, visiting, working for, or collaborating with The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates, and any of its Products and Services, including the Sites.

Your Acknowledgment and Agreement

— With respect to the standard and global protections for real and intellectual property and associated proprietary rights at The Ikoku Philanthropies, you represent, warrant and covenant your adherence to the following:

Acknowledgment of Sole Ownership
that whenever you use or provide — or apply for the approval, review and authorization of any usage of — any content, materials, as well as any copyright, franchise, license, logo, name, patent, slogan, symbol, service- or trademark or any other intellectual property, protection or right associated with, contained within or owned by The Ikoku Philanthropies, in any way, in whole or in part, you legally agree that they are acknowledging Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner of The Ikoku Philanthropies, is the sole owner of said copyright, franchise, license, logo, name, patent, slogan, symbol, service- or trademark or any other intellectual property, protection or right.
Agreement to Not Interfere
you also thus legally agree and promise that you will not interfere with The Ikoku Philanthropies’s or Alvan Azinna Chibuzo Ikoku’s rights in copyright, logo, name, patent, slogan, symbol, service- or trademark or any other intellectual property associated with, contained within or owned by The Ikoku Philanthropies, including challenging The Ikoku Philanthropies’s or Alvan Azinna Chibuzo Ikoku’s development, use, registration of, or application to register such copyright, logo, name, patent, slogan, symbol, service- or trademark or other intellectual property, alone or in combination with other words, materials or assets, anywhere in the world.
Agreement to Not Harm or Misuse
you also thus legally agree and promise that you will not harm, misuse or bring into disrepute any copyright, logo, name, patent, slogan, symbol, service- or trademark or any other intellectual property associated with, contained within or owned by The Ikoku Philanthropies or its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku.
Adherence to Permission
you also thus legally agree that any and all usage approved, reviewed and authorized as described above and granted to you strictly adheres to the terms of the granted permission, those of this Policy and applicable laws and regulations.
No Rights Accrual
you also thus legally agree that any and all usage approved, reviewed and authorized as described above and granted to you commits you to helping The Ikoku Philanthropies in protecting its valuable intellectual property assets and rights, and that you thus furthermore understand and accept that, except for the specifically limited right to use as expressly permitted by the received written authorization and by this Policy, no other rights of any kind are granted to you or hereunder, by implication or otherwise.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

B — Copyrights

Ownership and Permission

— With respect to content, data, information, media, material and other copyrightable real or intellectual property at The Ikoku Philanthropies, you represent, warrant and covenant your adherence to the following:

Scope of Copyrighted Content
copyright associated with and arising from The Ikoku Philanthropies, its series, subsidiaries and affiliates, as well as its Products and Services, including the Sites, is owned by The Ikoku Philanthropies and more specifically Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner — with the exception of copyright for “External Intellectual Property as defined below and in the Codes and Policies.
Appearance of External Intellectual Property
any and all External Intellectual Property that appears on The Ikoku Philanthropies, its series, subsidiaries and affiliates, as well as its Products and Services, including the Sites, are by third parties who have granted The Ikoku Philanthropies and/or its Founder and Owner, Alvan Azinna Chibuzo Ikoku, permission to use the material as it appears — or such outside intellectual property appears under fair-use, unrestricted and worldwide or equivalent license to use.
Use of External Intellectual Property
with respect to any and all External Intellectual Property that appears on The Ikoku Philanthropies, its series, subsidiaries and affiliates, as well as its Products and Services, including the Sites, where required, proper attribution is included, indicating the owner of the copyright and that it is reproduced with the permission of the copyright owner. If you would like to use such material, please contact the copyright owner for permission. The Ikoku Philanthropies may not grant permission for use of such copyrighted material. For specific inquiries regarding such material, please email contact@ikokuphilanthropies.com. For more information and guidance, consult your copyright attorney.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification — and you thus also accept and agree that neither you nor any other person or entity shall acquire any right, title or interest in any of the aforementioned or The Ikoku Philanthropies-associated or -owned real and intellectual property, including by nature of permitted usage of said real and intellectual property, or by using, visiting, working for, or collaborating with The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates, and any of its Products and Services, including the Sites.

Permission as Basis of Use

— Except as otherwise noted, you must request and receive expressly written authorization, review and approval and ultimately permission from The Ikoku Philanthropies — specifically via written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner — before you copy, distribute, display or otherwise use any The Ikoku Philanthropies content, data, information, media, material and other intellectual property or copyrighted content, data, information, media, material and other intellectual property, or variations thereof, in any way, in part or in whole.

Requirements for Permitted Uses

— With respect to copyrighted or copyrightable content, data, information, media, material, or variations thereof, and other intellectual real and property for which you obtain permission as described above (“Available Content”), and for the requested and granted authorization described above to remain valid for any uses permitted and further allowed by this Policy, you represent, warrant and covenant your adherence to and compliance with the following requirements:

Restriction of Activities
that you only engage in the use activities described in the written authorization and approval — for example, to review, download, copy or distribute — and their attendant operations and not change the Available Content or use it commercially.
Restriction of Purposes
that you only engage in above activities solely for the purpose of furthering your permitted purpose and its attendant operations, as described in the written authorization and approval.
Restriction of Place and Time
that you only engage in above activities solely at the permitted places or venues and for the permitted period of time, as described in the written authorization and approval.
Restriction of Manner and Content Arrangement
that you only engage in above activities solely in the permitted manner and solely in accordance with any permitted or required arrangement of the Available Content, as described in the written authorization and approval.
Attribution and Linkage
that your authorized, approved and permitted use of the Available Content include your mention of and link back to The Ikoku Philanthropies and one of its Sites — or, where permitted, to a pertinent subsidiary or affiliate of The Ikoku Philanthropies and one of its Sites — and that such use must include the following statement: “Used with permission from The Ikoku Philanthropies,” where “The Ikoku Philanthropies” may also be replaced with or followed by the name of one of its divisions, series, subsidiaries or affiliates, if pertinent. A copyright attribution notice must also be included in the credit section giving notice of The Ikoku Philanthropies’s ownership of its copyright.
Reference to Site, Product, Program or Service
that, wherever your use includes references to one of the Products or Services, including the Sites, you use the full name of the site, product, program, service or equivalent good or service, and no images may be used as a link to such site, product, program, service or equivalent good or service. You shall, instead, link to such a site, product, program, service or equivalent good or service only by using a plain text link with words like, as an example, “please see this page at IkokuPhilanthropies.com.”
No Commercial Use
that you shall not sell the Available Content or otherwise distribute it for a fee, for or with the accrual of material or monetary benefit, or for any other commercial purposes.
No Obscene, Pornographic or Harmful Use
that your use of the Available Content shall not be obscene or pornographic, and you shall not be disparaging, defamatory or libelous to The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates; any of its Products or Services, including the Sites; or any of its official persons or entities.
No Political Purposes or Implication
that you shall not use Available Content in any manner that implies, suggests or could otherwise be perceived as attributing a political motive, objective, opinion or its equivalent to The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates; any of its Products or Services, including the Sites; or any of its official persons or entities.
No Further Use or Disclosure
that you shall not use or disclose such Available Content — or any area, part or section of The Ikoku Philanthropies or of its Products and Services, including the Sites — to any third parties except as expressly permitted by the written authorization and approval, this Policy and these Codes and Polices.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

General Prohibition

— With respect to content, data, information, media, material and other copyrightable real or intellectual property appearing, developed or otherwise used with, within or in relation to The Ikoku Philanthropies, you represent, warrant and covenant your adherence to the following prohibitions:

Exception to Prohibition
that, except as otherwise permitted herein or by separate written authorization and permission as described above, any and all uses described by or similar to the usages below are strictly prohibited.
Prohibition of Use Not in Policy or Authorized Permission
any and all use of The Ikoku Philanthropies content, data, information, media, material, any proprietary materials and other real or intellectual property, including but not limited to copyrights, logos, names, patents, slogans, symbols, service- and trademarks, or variations thereof, including appearing, contained or otherwise in use with, within or in relation to the Products and Services.
Prohibition of Use Connoting Affiliation or Sponsorship
any and all use of The Ikoku Philanthropies content, data, information, media, material, any proprietary materials and other real or intellectual property, including but not limited to copyrights, logos, names, patents, slogans, symbols, service- and trademarks, or variations thereof, including appearing, contained or otherwise in use with, within or in relation to the Products and Services, in any manner to express or imply affiliation, association, endorsement or sponsorship by or with The Ikoku Philanthropies.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

C — Names, Marks and Logos

Sole Acquisition and Ownership

— The names and marks listed below — and all variations thereof — are the sole and exclusive property of Alvan Azinna Chibuzo Ikoku, the President and Chair, as well as sole Founder, Owner and Original Member, of The Ikoku Philanthropies:

Names and Marks of Alvan Ikoku Philanthropies
all names and marks of The Alvan Ikoku Philanthropies, its divisions, series, subsidiaries and affiliates, as well as its Products, Services and Sites, including but not limited to “The Alvan Ikoku Philanthropies,” “The Ikoku Philanthropies” and “The Alvan Azinna Chibuzo Ikoku Philanthropies.”
Full Scope
all names, marks, logos, slogans, symbols, text or graphic material or any proprietary materials or their equivalent, or variations thereof, in part or in whole, associated with and arising from The Ikoku Philanthropies, its divisions, series, subsidiaries and affiliates, as well as its Products and Services, including the Sites, owned fully and solely by its Founder, Alvan Azinna Chibuzo Ikoku — with the exception of “External Intellectual Property” as defined above and in the Codes and Policies.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification — and you thus also accept and agree that neither you nor any other person or entity shall acquire any right, title or interest in any of the aforementioned or The Ikoku Philanthropies-associated or -owned real and intellectual property, including by nature of permitted usage of said real and intellectual property, or by using, visiting, working for, or collaborating with The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates, and any of its Products and Services, including the Sites.

Permission as Basis of Use

— Except as otherwise noted, you must request and receive expressly written authorization, review and approval and ultimately permission from The Ikoku Philanthropies — specifically via written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, its Founder and Owner — before you in any way use or reference any of The Ikoku Philanthropies names, marks, logos, slogans, symbols, text or graphic material or any proprietary materials or their equivalent, or variations thereof, in part or in whole.

Requirements for Permitted Uses

— With respect to names, marks, logos, slogans, symbols, text or graphic material, proprietary materials, or variations thereof, and other intellectual property for which you obtain permission as described above (“Available Usage”), and for the requested and granted authorization described above to remain valid for any uses permitted and further allowed by this Policy, you represent, warrant and covenant your adherence to and compliance with the following requirements:

Restriction of Activities
that you only engage in the use activities and their attendant operations described in the written authorization and approval and not change the name, mark, logo, slogan, symbol, text or graphic material or proprietary material or use it commercially.
Restriction of Purposes
that you only engage in above activities solely for the purpose of furthering your permitted purpose and its attendant operations, as described in the written authorization and approval.
Restriction of Place and Time
that you only engage in above activities solely at the permitted places or venues and for the permitted period of time, as described in the written authorization and approval.
Restriction of Manner and Content Arrangement
that you only engage in above activities solely in the permitted manner and solely in accordance with any permitted or required arrangement of the name, mark, logo, slogan, symbol, text or graphic material or proprietary material, as described in the written authorization and approval.
Specific Permission for Logo or Symbol Use
that any of the logos of The Ikoku Philanthropies or any other The Ikoku Philanthropies-associated or -owned graphic symbol, logo, icon or image shall not appear on or in any materials without express written permission, as described above, from Alvan Azinna Chibuzo Ikoku.
Attribution and Linkage
that your authorized, approved and permitted use of the name, mark, logo, slogan, symbol, text or graphic material or proprietary material include your mention of and link back to The Ikoku Philanthropies and one of its Sites — or, where permitted, to a pertinent subsidiary or affiliate of The Ikoku Philanthropies and one of its Sites — and that such use must include the following statement: “Used with permission from The Ikoku Philanthropies,” where “The Ikoku Philanthropies” may also be replaced with or followed by the name of one of its divisions, series, subsidiaries or affiliates, if pertinent. A trademark attribution notice must also be included in the credit section giving notice of The Ikoku Philanthropies’s ownership of its name, mark, logo, slogan, symbol, text or graphic material or proprietary material.
Reference to Site, Product, Program or Service
that, wherever your use includes references to one of its Products or Services, you use the full name of the site, product, program, service or equivalent good or service, and no images may be used as a link to such site, product, program, service or equivalent good or service. You shall, instead, link to such site, product, program, service or equivalent good or service only by using a plain text link with words like, as an example, “please see this page at IkokuPhilanthropies.com.”
No Commercial Use
that you shall not sell the name, mark, logo, slogan, symbol, text or graphic material or proprietary material or otherwise distribute it for a fee, for or with the accrual of material or monetary benefit, or for any other commercial purposes.
No Sponsorship
that your use of the name, mark, logo or slogan shall not, in any manner, express or imply endorsement, sponsorship, affiliation or association of you or any other user by or with The Ikoku Philanthropies, any of its series, subsidiaries and affiliates; any of its Products or Services; or any of its official persons or entities.
Clarification of Non-Endorsement
that your use of the name, mark, logo, slogan, symbol, text or graphic material or proprietary material, and any reference to The Ikoku Philanthropies, shall not, in any manner, create a sense of endorsement, sponsorship or false association by or with The Ikoku Philanthropies, any of its series, subsidiaries and affiliates; any of its Products or Services; or any of its official persons or entities. And a disclaimer of affiliation, endorsement or sponsorship by or with The Ikoku Philanthropies, similar to the following, is included on all related materials: “(Title) is an independent (noun) and has not been authorized, sponsored or otherwise approved by The Ikoku Philanthropies,” where “The Ikoku Philanthropies” may also be replaced with or followed by the name of one of its divisions, series, subsidiaries or affiliates, if pertinent.
No Imitation of Design
that you shall not imitate any of the distinctive packaging, web site designs, logos or typefaces of The Ikoku Philanthropies.
No Use or Imitation of Slogans
that you shall not use or imitate any of the slogans or tagline of The Ikoku Philanthropies. For example: “Care and Creativity, Ethics and Innovation.”
No False or Derogatory Light
that your use of the name, mark, logo, slogan, symbol, text or graphic material or proprietary material shall not show The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates; any of its Products or Services; or any of its official persons or entities in a false or derogatory light.
No Obscene, Pornographic or Harmful Use
that your use of the name, mark, logo or slogan shall not be obscene or pornographic, and you shall not be disparaging, defamatory or libelous to The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates; any of its Products or Services; or any of its official persons or entities.
No Political Purposes or Implication
that you shall not use name, mark, logo, slogan, symbol, text or graphic material or proprietary material in any manner that implies, suggests or could otherwise be perceived as attributing a political motive, objective, opinion or its equivalent to The Ikoku Philanthropies, any of its divisions, series, subsidiaries or affiliates; any of its Products or Services; or any of its official persons or entities.
No Further Use or Disclosure
that you shall not use or disclose such name, mark, logo, slogan, symbol, text or graphic material or proprietary material — or any area, part or section of The Ikoku Philanthropies or of its Products and Services, including the Sites — to any third parties except as expressly permitted by the written authorization and approval, this Policy and these Codes and Polices.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Subject to Inspection

— All uses of The Ikoku Philanthropies names, marks, logos, slogans, symbols, text or graphic material, proprietary materials or their equivalent, or variations thereof, in any manner shall be subject to inspection by and approval of Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner of The Ikoku Philanthropies. Such approval may be granted or withheld by this Founder and The Ikoku Philanthropies at their sole and absolute discretion.

General Prohibition

— With respect to names, marks, logos, slogans, symbols, text or graphic material, proprietary materials or their equivalent intellectual property, or variations thereof, appearing, developed or otherwise used with, within or in relation to The Ikoku Philanthropies and its Products and Services, you represent, warrant and covenant your adherence to the following prohibitions:

Exception to Prohibition
that, except as otherwise permitted herein or by separate written authorization and permission as described above, any and all uses described by or similar to the usages below are strictly prohibited.
Prohibition of Use Not in Policy or Authorized Permission
any and all use of The Ikoku Philanthropies names and marks, or variations thereof, or any proprietary logos, slogans, symbols, text or graphic materials, or variations thereof, or any proprietary materials or any other intellectual property, including appearing, contained or otherwise in use with, within or in relation to the Products and Services.
Prohibition of Use Connoting Affiliation or Sponsorship
any and all use of The Ikoku Philanthropies names and marks, or variations thereof, or any proprietary logos, slogans, symbols, text or graphic materials, or variations thereof, or any proprietary materials or any other intellectual property, including appearing, contained or otherwise in use with, within or in relation to the Products and Services, in any manner to express or imply affiliation, association, endorsement or sponsorship by or with The Ikoku Philanthropies.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

D — Third-Party Use

Authorization and Approval

— Notwithstanding any provisions of this Policy, the Codes and Policies, other official or governance documents of The Ikoku Philanthropies, or applicable state, federal or international law, agreement and treaties, only Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner of The Ikoku Philanthropies, shall approve, review and authorize, in rare instances and by express and written instrument signed and sealed, the provision or use of any The Ikoku Philanthropies-associated, -developed or -owned branding, franchise, license or any other use of any The Ikoku Philanthropies-associated, -developed or -owned content, content, copyright, data or information, design, logo, media, material, name, patent, slogan, symbol, text, service- or trade mark, or variations thereof,  or any other proprietary material or intellectual property belonging to or on behalf of The Ikoku Philanthropies, its divisions, series, subsidiaries and affiliates, as well as its Products and Services, including the Sites.

Required Use Agreement and Guidelines

— Where such approval is granted by the above Founder, Alvan Azinna Chibuzo Ikoku, The Ikoku Philanthropies shall — in addition to aforementioned requirements for giving and maintaining valid authorization and approval for permitted use — for each case craft and publicize express and written Franchise, License or Third-Party Use Guidelines, as well as an express and written Franchise, License or Third-Party Use Agreement, both also reviewed and approved by the above Founder by written instruments signed and sealed, specifying the following:

Terms of Restricted Franchise, License, Use
the explicit terms of a highly restricted franchise or license to use the specified intellectual property of The Ikoku Philanthropies.
Terms of Restricted Time Period
the explicit terms of a highly restricted time period for the franchise or license to use the specified intellectual property of The Ikoku Philanthropies.
Terms of Restricted Activities
the explicit terms of a highly restricted set of activities and operations for the franchise or license to use and an accompanying prohibition of activities (political, unethical, etc.) in compliance with the Codes and Policies of The Ikoku Philanthropies and of the pertinent series, subsidiary, affiliate, Site, Product or Service of The Ikoku Philanthropies.
Terms of Restricted Purposes
the explicit terms of a highly restricted purposes for the franchise or license to use and an accompanying prohibition of purposes (political, unethical, etc.) in compliance with the Codes and Policies of The Ikoku Philanthropies and of the pertinent series, subsidiary, affiliate, Site, Product or Service of The Ikoku Philanthropies.
Terms of Authorized Places and Registrations
the explicit terms of the authorized places and site where such use (e.g solicitations) may occur to ensure that any required licenses and registrations for such use are properly obtained.
Terms of Notification and Deposit
the explicit terms of a highly restricted timeframe for notification of the Founder and The Ikoku Philanthropies as well as transfer and depositing of any funds, revenues and other assets generated by such use in specified accounts or holdings of The Ikoku Philanthropies.
Designated Acknowledgment
the Manager, Trustee, Director, or Officer of The Ikoku Philanthropies — along with the Founder — authorized to send the required acknowledgments of receipt of funds, revenues and other assets generated by such use.
Approval of Messaging by Founder
final inspection, review and approval of messaging by the Founder, Alvan Azinna Chibuzo Ikoku.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Monitoring Fundraising

— Where such approval is granted by the above Founder, Alvan Azinna Chibuzo Ikoku, for fundraising on behalf of The Ikoku Philanthropies, its divisions, series, subsidiaries and affiliates, or its Products and Services, including the Sites, The Ikoku Philanthropies shall — in addition to aforementioned requirements for giving and maintaining valid authorization and approval for permitted use — for each case craft and publicize express and written Third Party Fundraiser Guidelines, as well as an express and written Third Party Fundraiser Agreement, both also reviewed and approved by the above Founder by written instruments signed and sealed, specifying the following:

Terms of Restricted Franchise, License, Use
the explicit terms of a highly restricted license to use the specified intellectual property of The Ikoku Philanthropies.
Terms of Restricted Time Period
the explicit terms of a highly restricted time period for the license to use the specified intellectual property of The Ikoku Philanthropies.
Terms of Restricted Activities
the explicit terms of a highly restricted set of activities and operations for the license to use and an accompanying prohibition of activities (political, unethical, etc.) in compliance with the Codes and Policies of The Ikoku Philanthropies and of the pertinent series, subsidiary, affiliate, Site, Product or Service of The Ikoku Philanthropies.
Terms of Restricted Purposes
the explicit terms of a highly restricted purposes for the license to use and an accompanying prohibition of purposes (political, unethical, etc.) in compliance with the Codes and Policies of The Ikoku Philanthropies and of the pertinent series, subsidiary, affiliate, Site, Product or Service of The Ikoku Philanthropies.
Terms of Authorized Places and Registrations
the explicit terms of the authorized places and site where such use (e.g solicitations) may occur to ensure that any required licenses and registrations for such use are properly obtained.
Terms of Notification and Deposit
the explicit terms of a highly restricted timeframe for notification of the Founder and The Ikoku Philanthropies as well as transfer and depositing of any funds, revenues and other assets generated by such use in specified accounts or holdings of The Ikoku Philanthropies.

the Manager, Trustee, Director, or Officer of The Ikoku Philanthropies — along with the Founder — authorized to send the required acknowledgments of receipt of funds, revenues and other assets generated by such use.
Approval of Messaging by Founder
final inspection, review and approval of messaging by the Founder, Alvan Azinna Chibuzo Ikoku.
Non-Applicability to Ikoku Trusts and Foundations
None of the above is to apply to The Ikoku Charitable Trusts and The Ikoku Foundations, entities separate and distinct from The Ikoku Philanthropies that also have Alvan Azinna Chibuzo Ikoku as Founder, President and Chair.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

E — Protected Usage on The Sites

Authorization and Management

— Notwithstanding any provisions of this Policy, the Codes and Policies, other official or governance documents of The Ikoku Philanthropies, or applicable state, federal or international law, agreement and treaties, the Sites of The Ikoku Philanthropies, as defined in the Codes and Policies page, are wholly owned by and under executive management of solely Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner of The Ikoku Philanthropies, and only this Founder and Owner of The Ikoku Philanthropies, shall approve, review and authorize any activity, communication, operation, participation and other use or visit of the Sites, including the submission, dissemination and other use of any content, content, copyright, data or information, design, logo, media, material, name, patent, slogan, symbol, text, service- or trade mark, or variations thereof,  or any other proprietary material or intellectual property, either belonging to or on behalf of users, visitors and other external persons or belonging to or on behalf of The Ikoku Philanthropies, its divisions, series, subsidiaries and affiliates, as well as its Products and Services, including the Sites.

Additional Protections for the Sites

— With respect to any and all real and intellectual property associated, contained, developed, or otherwise used with, within, in reference to or in relation to the Sites, as well as the Products and Services, you represent, warrant and covenant your adherence to and compliance with the following additional protections:

Content of Sites as Protected
the Sites, and all of the content they did, currently do or in the future may contain — including but not limited to applications, articles, audio, audio files, designs, directories, goods, graphics, guides, information, music, photographs, software, text, video, as well as the code, copyrights, domain names, logos, patents, slogans, symbols, service- and trade-marks, trade dress, trade names and any other form of intellectual property that relates to the Sites — are owned by or licensed by The Ikoku Philanthropies and are protected from any unauthorized copying, dissemination or other use by copyrights, patents, service- and trade-marks, international treaties and other proprietary rights and laws of the US and other countries.
Sites Protected as Collective Work and Individual Works
the Sites are also protected and recognized as a collective work or compilation under state, federal and international intellectual property law and treaties and US copyright — wholly belonging to and owned by The Ikoku Philanthropies and specifically belonging to and owned by Alvan Azinna Chibuzo Ikoku, its Founder and Owner — and all individual articles, columns and other contributions and elements making up the Sites are also copyrighted works licensed to be used as part of the Sites. No appearance, provision, submission or other use or processing of individual articles, columns and other contributions and elements, or of User Content as defined in this Policy, shall affect, change, diminish or otherwise impact the recognition, protection and whole and sole ownership of the copyright of the Sites as described here and in this Policy.
Your Acknowledgement of Value and Rights
you acknowledge that the Sites have been conceptualized, developed, disseminated, managed, maintained, revised and otherwise produced by The Ikoku Philanthropies through the development and application of substantial creativity, discernment, effort, ideas, methodological attention, money, practice, research, time and equivalent resources, and constitutes valuable intellectual property of The Ikoku Philanthropies and specifically Alvan Azinna Chibuzo Ikoku, its Founder and Owner, and where applicable, attributed and cited External Intellectual Property, content and sources.
Your Agreement to Abide
you agree to abide by all applicable copyright, patent, trademark, intellectual property and other laws, as well as any additional copyright and intellectual property notices or restrictions contained in the Sites.
Your Further Agreement to Protect
you agree to protect the real and intellectual property and proprietary rights of The Ikoku Philanthropies, and especially of its Founder and Owner, Alvan Azinna Chibuzo Ikoku, during and after the term of your access, activity, communication, operations, participation or other use or visit in, within, with, of, for, on behalf of or otherwise pertaining to the Sites, and to comply with all reasonable written requests made by The Ikoku Philanthropies to protect real and intellectual property and proprietary rights pertaining to the Sites.
Your Further Agreement to Notify
you agree to notify The Ikoku Philanthropies, as well as this Founder and Owner, in writing promptly upon becoming aware of any unauthorized access, activity, communication, operation, participation or other use or visit of the Sites by any individual or entity or of any claim that any person or any access, activity, communication, operation, participation or other use of the Sites infringes upon any intellectual property or proprietary rights.
Exclusive Present and Future Rights
all present and future rights in and to copyrights, know-how, patents, service- and trademarks, trade secrets and other intellectual property and proprietary rights of any type under the laws of any governmental authority, domestic or foreign, including rights in and to all applications and registrations relating to the Sites shall, as between you and The Ikoku Philanthropies, at all times be and remain the sole and exclusive property of The Ikoku Philanthropies and especially this Founder and Owner, Alvan Azinna Chibuzo Ikoku.

— and all present and future rights in and title to the Sites (including the right to deploy, manage and otherwise produce or use the Sites and any portions of the Sites over any present or future technology) are reserved to The Ikoku Philanthropies and this Founder and Owner for their exclusive use.

Authorized Use of Sites
except as specifically permitted by written authorization and approval granted by this Founder and Owner, as described in prior sections of this Policy, or as permitted more generally in this Policy, or in these Codes and Policies, you may not copy or make any use of the Sites or any portion thereof.
Authorized Use of Property and Rights on Sites
except as specifically permitted herein, you shall not use any intellectual property rights of the Sites, or The Ikoku Philanthropies, or the names of any individual participant in, or contributor to, the Sites, or any variations or derivatives thereof, for any purpose, without  prior written approval and authorization of The Ikoku Philanthropies and its Founder as described above.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

The Limited Permission to You

— With respect to the scope and nature of a limited permission The Ikoku Group and The Ikoku Philanthropies grant to you during your access, activity, communication, operation, participation and other use or visit with, within, for, on behalf of, in reference to or otherwise pertaining to the Sites, as well as other Products and Services (“The Limited Permission”), you represent, warrant and covenant your adherence to and compliance with the following:

The Limited Permission
that your activity, communication, operation, participation and other use pertaining to the Sites, or other Products and Services, shall be wholly consistent with a revocable, non-exclusive, non-transferable, limited permission — temporarily granted to you by The Ikoku Group and The Ikoku Philanthropies — solely to access and display within the Sites authorized, public-facing, non-restricted access parts and sections of the Sites, or other Products and Services, for authorized uses as an authorized, consenting and identified browser or visitor, customer or potential customer, or user or potential user — and in a manner and mode that is viewable and reviewable by The Ikoku Philanthropies, The Ikoku Group and specifically their Founder and Owner, Alvan Azinna Chibuzo Ikoku.
No Other Rights or Licenses
that — except for the limited permission described above — The Ikoku Philanthropies and The Ikoku Group do not grant you any express or implied rights or licenses, whether under any copyrights, patents or service- and trademarks, or other proprietary or intellectual property rights.
No Mirroring of Content or Section Elsewhere
that you shall not mirror any content, data and information, feedback, part or section of the Sites, or other Products and Services, on another product, service or site or in any other media.
All Software Governed by Policies
that any software and other materials made available at the Sites, or other Products and Services for your access, downloading or other use, even with their own license terms, shall also be governed by this Policy, the Codes and Policies and copyright, trademark and other proprietary notices provided by The Ikoku Philanthropies and The Ikoku Group.
Continued Validity of Limited Permission
that the limited permission described above shall remain valid provided you comply with this Policy and all copyright, trademark and other proprietary notices are followed, observed and remain intact.
Not For a Purpose Deemed Illegal or Inconsistent with Policies
that your activity, communication, operation, participation and other use pertaining to the Sites, or other Products and Services, shall not be for any illegal purpose, for the facilitation of the violation of any law or regulation, or in any manner inconsistent with the Terms, the Codes and Policies, the Founding Code of Ethics, and the cautions and prohibitions described in the Acceptable Use Policy.
Not In a Manner that Competes with Company or Founder
that your activity, communication and other use pertaining to the Sites, or other Products and Services, shall not be for any purposes or in any manner that could compete with any of the activities, businesses and purposes of The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, or its Founder and Owner, Alvan Azinna Chibuzo Ikoku.
Termination Upon Non-Compliance

Your User Data and Information
that you — as a contributor, participant, user, visitor or equivalent person using and visiting the Sites, other Products and Services, as well as The Ikoku Philanthropies — may in certain expressly authorized areas, parts or sections generate “User Data and Information” as defined in the main Codes and Policies page.
Your User Feedback
that you — as a contributor, participant, user, visitor or equivalent person using and visiting the Sites, other Products and Services, as well as The Ikoku Philanthropies — may in certain expressly authorized areas, parts or sections be able to curate, display, disseminate, edit, modify, share, transform or otherwise use “User Feedback” as defined in the main Codes and Policies page.
Rights of User Data and Information
that The Ikoku Philanthropies and its Founder and Owner, Alvan Azinna Chibuzo Ikoku, solely retain all intellectual property and proprietary rights for any and all User Data and Information and User Feedback, including such sole rights to authorize, review and approve permissions, branding, franchises, licenses and other usage as describe above in this Policy.
Limited Permission for User Feedback
that The Ikoku Philanthropies and The Ikoku Group solely grant to you The Limited Permission in any and all of your User Feedback, as such permission is described in this Policy.
Your Retention of Rights
that you — as a contributor, participant, user, visitor or equivalent person using and visiting the Sites, other Products and Services, as well as The Ikoku Philanthropies — retain intellectual property and proprietary rights for your User Content.
Your Granting of License to The Ikoku Philanthropies
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, other Products and Services, as well as The Ikoku Philanthropies — grant to The Ikoku Philanthropies, The Ikoku Group and their Founder and Owner, Alvan Azinna Chibuzo Ikoku, a perpetual, nonexclusive, irrevocable, fully paid, royalty-free, sub-licensable and transferable (in whole or in part) worldwide right and license to exercise all now or later existing intellectual property rights or other rights of yours or others in any and all of the User Content, now known or later developed, in full or in part, for purposes of supporting the company mission and purposes (as determined by the discretion of The Ikoku Philanthropies and The Ikoku Group and their Founder and Owner from time to time) and in all possible media now known or later developed. The foregoing rights include (but are not limited to), the right to adapt, copy, create derivative works based upon, curate, display, disseminate, distribute, modify, perform, publish in public or private venues (sites, newspapers or other media, brochures, reports and so on), read (on air or otherwise), reproduce, transform, translate, transmit digitally and otherwise use for any purpose whatsoever (including, without limitation, advertising, commercial, promotional and publicity purposes) in The Ikoku Philanthropies’s, The Ikoku Group’s and this Founder’s discretion without additional notice, attribution or consideration to you or to any other person or entity. Such additional uses by The Ikoku Philanthropies and The Ikoku Group are made with no compensation to you with respect to your User Content as the use of the Sites and other Products and Services is hereby agreed as being sufficient compensation for your User Content and grant of rights herein.
Your Attestation to Being Original Creator
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites — represent and warrant that you are the original author, creator or producer of the User Content (except where you specifically indicate otherwise), that neither the permission nor consent of any other person or entity is required to enable The Ikoku Philanthropies and The Ikoku Group to legally use your User Content in accordance with the above license, that The Ikoku Philanthropies’s and The Ikoku Group’s use of your User Content in accordance with this license will not violate or infringe upon the rights of any person or entity, and that you own or otherwise control all of the rights to the User Content that you submit.
Your Attestation to Non-Injury, Non-Violation and Indemnification
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services — represent and warrant that the User Content you submit are truthful and accurate; that use of such User Content does not violate any of the Codes and Policies and will not cause injury to any person or entity; and that you will indemnify The Ikoku Philanthropies and The Ikoku Group, their Founder and Owner, leadership, employees, staff, contractors, volunteers, partners, representatives, agents, third parties, successors and assigns for all claims resulting from such User Content.

Your Agreement about Non-Claim of Violation
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services — hereby irrevocably waive, release and give up any claim that any use of such User Content violates any of your rights, including, without limitation, copyrights, service- and trademarks, moral rights, privacy rights, proprietary or other property rights, publicity rights or right to credit for the material or ideas, and forever release and discharge The Ikoku Philanthropies and The Ikoku Group and their licensees from any and all claims you may have in connection with The Ikoku Philanthropies’s and The Ikoku Group’s use of your User Content in accordance with the above license.
Your Agreement about Limitation of Any Claim
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content and User Feedback on the Sites, or other Product and Services — acknowledge that, with respect to any claim you may have relating to or arising out of The Ikoku Philanthropies’s, The Ikoku Group’s and this Founder and Owner’s actual or alleged use of any User Content you submit to the Sites or The Ikoku Philanthropies, the damage, if any, thereby caused will not be irreparable or otherwise sufficient to entitle you to injunctive or other equitable relief or to in any way enjoin the exploitation or other use of any Product or Service of The Ikoku Philanthropies and The Ikoku Group based on or allegedly based on the User Content, and your rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
Your Agreement about Non-Obligation
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services — also agree and understand that neither The Ikoku Corporation nor this Founder and Owner are obligated to use or otherwise process any of the User Content you create or share on the Sites, other Products and Services or at The Ikoku Corporation and you have no right to compel such use.
Your Acknowledgement of Non-Fiduciary Relationship
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services — hereby acknowledge and agree that your relationship with The Ikoku Corporation and The Ikoku Group is not a beneficiary, confidential, controlling, decision-making, fiduciary, ownership or other equivalent relationship, and that your decision to submit any User Content to the Sites, other Products and Services or to The Ikoku Corporation does not confer, provide or place you in such a relationship with The Ikoku Corporation, The Ikoku Group or this Founder and Owner and furthermore does not place you in a position with respect to The Ikoku Corporation, The Ikoku Group or to this Founder and Owner that is any different from the position held by members of the general public with regard to your User Content and User Feedback.
Your Attestation to Understanding
that you — as a contributor, participant, user, visitor or equivalent person providing or otherwise using User Content on the Sites, or other Products and Services — hereby agree that the above contains the full and complete understanding between The Ikoku Philanthropies, The Ikoku Group, this Founder and Owner and you regarding The Ikoku Philanthropies’s and The Ikoku Group’s use of your User Content and cannot be modified except by a written instrument signed by The Ikoku Philanthropies, The Ikoku Group, this Founder and Owner and you.
Authorized Use of Sites
except as specifically permitted by written authorization and approval granted by this Founder and Owner, as described in prior sections of this Policy, or as permitted more generally in this Policy, or in these Codes and Policies, you may not copy or make any use of the Sites, other Products and Services or any portion thereof.
Authorized Use of Property and Rights on Sites
and except as specifically permitted herein, you shall not use any intellectual property rights of the Sites, other Products and Services or The Ikoku Philanthropies, or the names of any individual participant in, or contributor to, the Sites or other Products and Services, or any variations or derivatives thereof, for any purpose, without prior written approval and authorization of The Ikoku Philanthropies and this Founder as described above.

And furthermore, by using or visiting, in any way, The Ikoku Corporation, any area, part, section or properties of The Ikoku Corporation, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.
