Ethics as Basis of The Ikoku Philanthropies

Overview

Welcome to the Founding and Governing Code of Ethics of The Alvan Ikoku Philanthropies, a division of The Alvan Ikoku Group LLC (the “Code of Ethics” and the “Ethics”), which shall ethically guide, inform and govern any and all your activity with, within, for, on behalf of, in relation to or otherwise pertaining to The Ikoku Philanthropies.

Your Agreement

— With respect to the Agreement you enter into with The Ikoku Philanthropies via the Code of Ethics, you understand and adhere to the following:

Persons Adhering to Agreement
that the Code of Ethics is to be adhered to by a wide range of associated individuals and communities ― including but not limited to board and committee members, leadership, management, officers, staff, employees, volunteers, representatives, agents, collaborators, partners, and visitors and users ― as they work in their capacity to establish, further develop, operate, collaborate with, carry out the mission and purposes of, and also visit, use and participate in the offerings of The Ikoku Philanthropies.
Applicability and Governance of Agreement
that the Code of Ethics ethically guides, informs and governs any and all of your access, action, activity, communication, operation, participation, visit or other use, in any way, pertaining to The Ikoku Philanthropies, its series, subsidiaries and affiliates, and the Products and Services, including the Sites, and that you agree to abide by, assist, fully cooperate with and not interfere with The Ikoku Philanthropies and its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku in ensuring the compliance with and fulfillment of the Code of Ethics.
Entry and Continuation of Agreement
that whenever you engage in any access, action, activity, communication, operation, participation or other use in, with, for, on behalf of, in reference to or otherwise pertaining to The Ikoku Philanthropies, its series, subsidiaries and affiliates, and and its Products and Services, including the Sites — directly or indirectly as further described below — you are agreeing to the Code of Ethics as well as the associated Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Direct and Indirect Entry and Continuation of Agreement
that whenever you engage in the above described activities directly or indirectly — whether engaged in through The Ikoku Philanthropies, its series, subsidiaries and affiliates, and and its Products and Services, including the Sites; or through persons and entities working with The Ikoku Philanthropies, its series, subsidiaries and affiliates, and and its Products and Services, including the Sites; or working with such engaged activities and resulting media, materials or otherwise — you are also agreeing to the Code of Ethics as well as the associated Codes and Policies that collectively constitute The Ikoku Philanthropies User Agreement and Code of Conduct, as they are amended from time to time.
Binding Nature and Validity of Agreement
that you are also thus indicating that you understand the Code of Ethics and the Codes and Policies, that you intend them to be the legal equivalent of a signed, written contract, equally binding, and that you accept such Code of Ethics and Codes and Policies and agree to be legally bound by them (your “Agreement”).
Agreement On Behalf of Organization
that if you are engaging in any of the above described activities, communication or uses for or on behalf of an organization, you are agreeing to this Agreement on behalf of that organization, and represent and warrant that you can do so.
In Case of Non-Agreement or Inability to Honor
that you will not engage in any of the above described activities, communication or uses if you do not agree to all of the Code of Ethics or the Codes and Policies or if your jurisdiction will not honor them.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products or Services, including the Sites, you accept and agree to the terms, conditions and requirements described above, and in these Codes and Policies, in their entirety without modification.

Your Consent to The Ethics

— With respect to your ability to agree and consent to the Code of Ethics, you represent and warrant the following:

Your Power and Authority
that you have the power and authority to enter into the agreement entailed in the Code of Ethics, including, where applicable, the power and authority to enter into the agreement on behalf of an organization.
Required Age or Permission and Supervision
that you are at least eighteen (18) years old or if younger at least thirteen (13) years old and engage in activity, communication, operation, participation, visit or other use in relation to The Ikoku Philanthropies, its divisions, series, subsidiaries or affiliates, and its Products and Services, including the Sites with the permission and supervision of an adult parent or guardian.
Reading and Understanding
that you have read and understood the Code of Ethics.
Voluntary Nature of Consent
that you understand your consent to be voluntary in nature.
Agreement and Consent
that you consented to and agreed to be legally bound by the Code of Ethics.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any area, part, section or properties of The Ikoku Philanthropies, any area, part, section or properties of its divisions, series, subsidiaries or affiliates, as well as any of the Products and Services, including the Sites, you accept and agree that your consent meets the conditions, principles and requirements for consent, as delineated and described in a these Codes and Policies — for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.

Your Abiding by The Ethics and Policies

— You represent, warrant and covenant that, given the above attestation about your consent to the Code of Ethics, you have read, understood, consented to and agreed to be legally bound by and abide by the Code of Ethics and the Codes and Policies, as they are amended from time to time, and in their entirety without modification.

Your Understanding of Ethics

— You represent, warrant and covenant that, given the above attestation about your consent and adherence to the Code of Ethics, you have also read, understood, consented to and agreed to be legally bound by and abide by understandings of ethics as defined in all applicable guidelines, law and regulation, by The Ikoku Philanthropies in the Codes and Polices, and as specifically delineated below, which expressly emphasize provisions for the most rigorous and robust conceptions of dignity, humanity, independence and respect, and the most rigorous and robust protections for privacy, confidentiality, civil liberties and minority rights.

Your Commitment to Ethics

— You also represent, warrant and covenant that, given the aforementioned, your commitment to this understanding of ethics shall entail its basis for any activity you engage in with respect to The Ikoku Philanthropies — including its series, subsidiaries and affiliates, as well as its Products and Services — and that any such actions and decisions you engage in shall be free of any incompatibility with, inconsistency with or violation of this Code of Ethics.

Your Knowledge and Agreement

The Ikoku Philanthropies strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand and regularly visit this page and other communications regarding the Founding Code of Ethics, as well as the Codes and Policies. The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your knowledge, understanding, legally binding acceptance and agreement.

Your Duty to Company Integrity

To protect the company, division and organizational integrity of The Ikoku Group and The Ikoku Philanthropies — as well as the properties, rights and protections of the company, division and their official persons — The Ikoku Philanthropies requires all natural and legal persons concerned to read, understand, abide by and, where applicable, sign contracts and agreements delineated and described in the Policy on Company and Division Integrity.

The Ikoku Philanthropies reminds you that the Policy on Company and Division Integrity forms part of The Ikoku Philanthropies User Agreement and Code of Conduct. Thus, The Ikoku Philanthropies takes your continued visiting and use of its Products and Services, including its Sites, as active indication of your legally binding acceptance of this Policy as well as the Codes and Policies.

Provision

Along with the above key principles, the Code of Ethics requires your adherence to correlative requirements delineated below:

Mission

Mission. To carry out the founding mission and purposes of The Ikoku Philanthropies in pursuit of private and public interest. To have all activities and operations support the mission and purposes. To have all who work for or on behalf of The Ikoku Philanthropies understand and be loyal to said mission and purposes. And to have the mission and purposes be responsive to the communities served by The Ikoku Philanthropies and be of value to the society at large.

Integrity

Integrity. To act with integrity in all activities within, with and with respect to The Ikoku Philanthropies. To ensure the organizational integrity of The Ikoku Philanthropies. And to promote at any official work for The Ikoku Philanthropies a working environment that values integrity.

Respect

Respect. To hold the fullest and most humane understanding of respect for persons to be essential to the formation, management, and operations of The Ikoku Philanthropies. To treat people of The Ikoku Philanthropies as individual persons and human beings fully enjoying respect and its substantive ethical benefits, including autonomy, dignity, humanity, integrity, and reciprocity. To also have the communities of The Ikoku Philanthropies — particularly those they help create, develop, foster, and support — emanate from and be informed by the above understanding of respect.

Governance

Governance. To have an active governing structure that is responsible for setting the strategic directions of The Ikoku Philanthropies as well as oversight of its finances, operations, and policies.

Responsible Stewardship

Responsible Stewardship. To manage all assets and properties of The Ikoku Philanthropies both responsibly and prudently — as described in the Founder’s Operating Agreement of The Alvan Ikoku Group LLC, and in fiduciary duties delineated in the constituting and governance documents of The Ikoku Philanthropies and its divisions, series, subsidiaries, and affiliates. And to also guide the official persons and communities of The Ikoku Philanthropies in accordance with this Founding and Governing Code of Ethics.

Independence

Independence. To hold independence to be crucial to the fulfillment of the founding mission and purposes of The Ikoku Philanthropies. And to have independence be central to the development, role, and understanding of private and public benefit commerce to be shared by The Ikoku Philanthropies and its divisions, series, subsidiaries, and affiliates.

Nongovernmental, Nonpolitical, Nonreligious, Private

Nongovernmental, Nonpartisan, Nonpolitical, Nonreligious, Private. To hold the nongovernmental, nonpartisan, nonpolitical, nonreligious and private nature and status of The Ikoku Philanthropies to be essential to fulfilling the founding mission and purposes of The Ikoku Philanthropies. To have such nature and status be a central basis for efforts to promote the private and public interest across the complex affiliations, associations, states, and na-tions that constitute Africa, its global diasporas, and its connected or shared societies in which the communities of The Ikoku Philanthropies reside.

Confidentiality and Privacy

Confidentiality and Privacy. To foreground the most robust protections of confidentiality and privacy as central inspirations for the formation of The Ikoku Philanthropies. To consider the confidentiality and privacy of personal biospecimens, data, and information as basic, civil and fundamental rights, and to further consider the privacy of personal life, including but not limited to aspects of life pertaining to body, conversation, home, mind, and thought, as absolute basic, fundamental and natural freedoms, liberties, and rights — all of which are to be guaranteed, safeguarded as well as essential to the fulfillment of the founding mission and purposes of The Ikoku Philanthropies.

Ethics, Freedoms, Liberties

Ethics, Freedoms, Liberties. To take as centrally important the practice of ethics as the examination and analysis of how to determine and do good. To also hold as centrally important the recognition and safeguarding of autonomy, dignity, humanity, and respect as well as the basic, fundamental and natural freedoms, liberties, and rights accorded to all human beings. And to furthermore hold the robust protection of minority rights to be essential to the fulfillment of the founding mission and purposes of The Ikoku Philanthropies.

Reasonable Transparency

Reasonable Transparency. To also provide, where required, reasonable and timely information to the communities served by The Ikoku Philanthropies. To be responsive in a timely manner to reasonable requests for information. And to have such published information accurately and honestly reflect policies and practices. Solicitation materials and financial, organizational and program reports will be accurate and complete in all required respects.

Inclusiveness and Diversity

Inclusiveness and Diversity. To maintain a founding policy of promoting inclusiveness and diversity in the working environments and communities of The Ikoku Philanthropies. To take genuine and meaningful steps to promote inclusion in recruitment, hiring, promotion, and retention, and in the communities to be reached, served and benefitted by The Ikoku Philanthropies.

Program Evaluation

Program Evaluation. To regularly and respectfully review program effectiveness, to develop lawful, respectful, and previously and expressly consented mechanisms to do so, and to in this manner incorporate lessons learned into existing and future programs.

Informed, Consented and Ethical Research and Care

Informed, Consented and Ethical Research and Care. To associate with, engage in, and support only activities that meet the most robust definitions of informed, consented and ethical research and care. And to have The Ikoku Philanthropies associate with, engage in, and support only care, research, and equivalent work that abide by the most humane and most respectful interpretations of the Belmont Report, the Declaration of Helsinki, the Nuremberg Code, the United Nations Declaration of Bioethics and Human Rights, and applicable guidelines, laws, and regulation.

Legal Compliance

Legal Compliance. To remain knowledgeable of and comply with all applicable laws, regulations, and international conventions, subject to full access to and benefit of legal, financial and other professional counsel that is not compromised by the efforts of any individual or entity, private, governmental or otherwise.

Accessibility

Accessibility. To endeavor that the communities The Ikoku Philanthropies benefits, fosters, reaches, and serves become available to all who abide by this Code of Ethics, regardless of disability or notions of human, cultural or social difference.

Duty to Report and Inform

Duty to Report and Inform. To ensure that the work of The Ikoku Philanthropies reflect its founding mission and purposes by honorably carrying out a duty to promptly report and fully inform the Founder, Alvan Azinna Chibuzo Ikoku, of any apparent violation of or incompatibility with the founding mission or purposes, the Code of Ethics, the Codes and Policies, or equivalent codes, policies, or instruments of The Ikoku Philanthropies.

No Conflict or Inconsistency

No Conflict or Inconsistency — Finally, under no circumstances shall any action, activity, decision, operations, resolution, or their equivalent of or with The Ikoku Philanthropies, including any conducted while meeting any fiduciary duties or standards of care or conduct, be in intentional violation of or incompatible with the following:

Applicable Law or Regulation
any applicable provision of state, federal or international law or mandatory guidelines or regulations.
Confidentiality and Privacy Protections
the most robust protections of confidentiality and privacy and the strictest interpretations of confidentiality and privacy laws, as they are delineated in state, federal and international statutes and in the founding and governance documents and policies of The Ikoku Philanthropies and its divisions, series, and subsidiaries.
Duties, Protections, and Requirements for Consent
the duties, principles, protections, requirements, responsibilities, and rights pertaining to obtaining and maintaining express, informed and written consent as defined, described and delineated by The Ikoku Philanthropies for any action, activity, communication, meeting, operation, or other process involving two or more persons, including any evaluations or proceedings, and for providing regular, clear, written and fully informing and signed reports of such evaluations and proceedings to all parties involved.
Code of Ethics and Founding Agreement
any provision of the above Code of Ethics, the Codes and Policies, and the Founder’s Operating Agreement of The Alvan Ikoku Group LLC, or equivalent codes, policies, or instruments of The Ikoku Philanthropies.

And furthermore, by using or visiting, in any way, The Ikoku Philanthropies, any part or section of The Ikoku Philanthropies, any part or section of its divisions, series, subsidiaries or affiliates, as well as any part or section of its Products or Services, you accept and agree to the terms, conditions and requirements described above, in the Code of Ethics, and in these Codes and Policies, in their entirety without modification.
